These Terms are entered into by and between you (“Client,” “you,” or “your”) and Ironwood Commerce Group LLC, doing business as On Chain Creative Studio (“we,” “us,” “our,” or “the Company”).
On Chain Creative Studio, operated by Ironwood Commerce Group LLC, offers creative design, custom branding, apparel customization, merchandise printing, and digital content creation services. The exact scope of services will be defined in any service agreement, quote, or order confirmation you receive from us.
If you create an account on the Site (if applicable), you are responsible for maintaining the confidentiality of your login credentials and any activity that occurs under your account. You agree to notify us immediately of any unauthorized access or suspected breach of security.
All fees for services will be specified in writing (quote or agreement) and are payable according to the terms stated therein.
Unless otherwise stated, fees are non-refundable once the work has commenced.
Late payments may incur interest, collection fees, or temporary suspension of services.
You agree to provide accurate, complete, and timely information and materials necessary for us to perform the services. You will cooperate with us in good faith so that we may deliver the services efficiently and to the agreed standard.
Any materials you provide to us remain your property.
Upon full payment, we grant you a non-exclusive, non-transferable license (or assignment if agreed) to the deliverables we create for you.
We retain ownership of our underlying tools, templates, know-how, and methodologies, even if they are embedded in the deliverables.
Each party agrees to keep confidential any non-public information disclosed by the other party and to use it only for the purposes of performing the Services. This obligation will survive termination or completion of the Services.
We warrant that we will carry out services in a professional manner consistent with industry standards.
Except as expressly stated, our services are provided “as is” and we make no other warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee specific outcomes, metrics, or business results unless explicitly stated in writing.
To the fullest extent permitted by law, neither party will be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of profits, data, or business interruption.
Our total aggregate liability under or related to these Terms will not exceed the total fees paid by you to Ironwood Commerce Group LLC in the twelve (12) months preceding the event giving rise to the claim.
Either party may terminate a service agreement in accordance with its terms.
We may suspend or terminate your access to the Site at any time for breach of these Terms.
Upon termination, you must pay for all services rendered up to the termination date and any outstanding fees.
We may update these Terms from time to time. The “Last Updated” date above will reflect the most recent revision. Your continued use of the Site or our services after changes are made constitutes acceptance of the updated Terms.
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be severed, and the remaining provisions shall remain in full force and effect.
These Terms, together with any signed service agreement, constitute the entire agreement between you and Ironwood Commerce Group LLC (d/b/a On Chain Creative Studio) and supersede all prior or contemporaneous communications and proposals, whether oral or written.
